Escrow Refund Eligibility
Escrow deposits may be refundable after a verified continuous operational relationship lasting no less than twelve calendar months prior to any request to terminate or cease classroom routing, subject to account reconciliation, invoice review, usage audit, contractual compliance checks, and completion of wind-down obligations.
Model 1 and Model 2 deposits are described as refundable security instruments in the public pricing framework. Model 3 waives escrow deposit requirements.
Continuous Operation Requirement
The twelve-month period requires an active operational relationship, not merely account creation or dormant credential possession. Paused, suspended, unpaid, or terminated periods may be excluded according to the executed agreement.
Nimbus Technology Labs LLC may require proof of account activity, approved use, payment status, token ledger continuity, and absence of material breach before authorizing escrow return.
Non-Refundable Items
Virtual token packages, implementation fees, structural system integration fees, curriculum license fees, localized enterprise messaging app blueprint fees, and activated blueprint delivery fees are non-refundable once provisioned, activated, mapped into the partner database ledger, or delivered to the partner account.
Premium publisher curriculum fees and third-party pass-through costs may be governed by separate schedules and may be non-refundable once ordered, licensed, accessed, or activated.
Cancellation Requests
Partners may request cancellation through their assigned account contact or support@supply-lingo.com. Requests should include company identity, contract reference, billing contact, desired wind-down date, and requested data export scope.
Cancellation timing, data export, operational wind-down, classroom shutdown, token reconciliation, and credential revocation are handled according to the executed agreement.
Credential and Access Wind-Down
Upon cancellation, Nimbus Technology Labs LLC may rotate API credentials, disable vendor tokens, close Socket.IO access, stop classroom routing, freeze token allocation, and archive support channels as required for security.
Partners remain responsible for notifying downstream users, pausing sales, handling local customer service, and removing unapproved claims from local channels.
Abuse, Breach, and Fraud
Nimbus Technology Labs LLC may suspend or terminate access when there is suspected fraud, unauthorized credential use, scraping, reverse engineering, service abuse, payment failure, abusive traffic, or breach of partner obligations.
Escrow return may be delayed, reduced, or denied where investigation, reconciliation, chargeback exposure, unpaid invoice exposure, or contractual breach remains unresolved.
Refund Processing Destination
Approved escrow returns are processed to the verified corporate bank account associated with the partner contract. Individual consumer payment instruments are not used for institutional escrow returns.
Refund processing may require bank verification, sanctions screening, tax documentation, corporate authorization, invoice offset review, and confirmation that no unresolved chargeback or dispute is pending.
Unused Tokens
Unused tokens may remain subject to the contract ledger and do not automatically convert to cash refund value. Token allocation status, expiration, student mapping, promotional credits, and consumed runtime may affect reconciliation.
Partners should not promise consumer-level refunds based solely on the public institutional pricing page unless their local terms independently provide such rights.
Dispute Handling
Billing or refund disputes must include invoice IDs, contract references, account identifiers, usage windows, token allocation records, and supporting documentation.
Nimbus Technology Labs LLC will review operational logs, billing records, and account status, then respond through the designated account channel or support@supply-lingo.com.
