Commercial Framework Selection
Institutional partners must select one commercial framework before onboarding. Model 1, Model 2, and Model 3 use different deposit, refill, license, implementation, and runtime fee structures.
The selected model determines access method, minimum commercial threshold, billing ledger treatment, student identifier mapping, and support workflow.
Model 1 Billing Baseline
Model 1 is the Enterprise Dedicated Master API Subscription framework. It includes a strategic infrastructure escrow deposit of $150,000 USD, a minimum wholesale reload threshold of $100,000 USD per instance, and a mandatory monthly minimum consumption commit of $50,000 USD per month.
Shortfalls under the monthly minimum may be ledger-adjusted and debited according to the executed agreement. The public values are disclosed in USD for institutional review and payment gateway transparency.
Model 2 Billing Baseline
Model 2 is the Tiered Volume RESTful API Node framework. It includes an operational security escrow deposit of $10,000 USD, a flexible refill limit, and a one-time structural system integration fee of $2,000 USD.
Public token tiers are example representations only: Alpha, Beta, and Gamma tiers illustrate how larger token packages can receive different conversion rates after approval.
Model 3 Billing Baseline
Model 3 is the Turnkey White-Label Mobile Program Solution. It waives upfront escrow deposit requirements, supports flexible balance refill limits, and includes a one-time turnkey blueprint cloning fee of $500 USD.
Local currency equivalent processing may be available at execution, but the public website displays USD values for clarity and external compliance review.
Token Allocation and Identity Mapping
Token packages may be allocated to phone numbers, custom student IDs, partner database UUIDs, or other approved student identifiers. Allocation records are used to support reconciliation, inventory control, fraud review, and classroom entitlement checks.
Partners are responsible for verifying the accuracy and lawful use of downstream student identifiers before submitting allocation requests.
Infrastructure Fees
Model 1 may include a direct RTC infrastructure consumption fee of $0.17 USD per 25-minute active session for global audio and video routing.
Models 2 and 3 may incorporate standard CDN, WebRTC, media delivery, and classroom runtime overhead unless otherwise stated in the executed agreement, converted into wholesale tiered token consumption matrices.
Curriculum Licensing
Nimbus proprietary curriculum libraries may be included or billed according to the selected framework. Model 2 may include a $2,000 USD annual Nimbus curriculum license. Model 3 may include a $500 USD annual Nimbus curriculum license.
Premium licensed publisher frameworks such as Oxford, Cambridge, or other third-party materials require separate isolated billing schedules and authorization.
Invoices and Payment Records
Invoices, commercial orders, credit memos, implementation fees, curriculum licenses, token reloads, and infrastructure charges may be recorded with contract references, student allocation windows, usage snapshots, and account identifiers.
Billing records may be retained for audit, compliance, dispute review, tax administration, payment gateway review, and contractual reconciliation, and any discrepancies regarding usage metrics or credit consumption must be logged within 72 hours of provisioning, subject to official system log verification.
Late Payment and Suspension
If payment fails, remains overdue, or is disputed without sufficient supporting documentation, Nimbus Technology Labs LLC may suspend reload processing, credential issuance, token allocation, or non-critical integration support subject to the executed agreement.
Suspension does not waive accrued payment obligations, security obligations, or reconciliation responsibilities.
